The terms governing your HH MATRIX 6-Week Intensive Programme.

1. About Us

These Terms & Conditions govern your participation in the HH MATRIX 6-Week Intensive Programme ("the Programme"), delivered by Tionkar Limited, trading as Humanity in Healthcare ("HH," "we," "us," "our"), a company registered in Ireland with its registered office at The Rubicon Centre, Rossa Avenue, Bishopstown, Cork,

Ireland. By booking a suitability consultation, paying the Programme fee, or otherwise engaging with our services, you ("the Client," "you") agree to be bound by these Terms.

2. The Programme and Suitability Consultation

Prior to enrolment, all prospective clients must complete a complimentary 20-minute suitability consultation. This consultation is for assessment purposes only and does not constitute an offer of enrolment or any guarantee of programme outcomes. The Programme consists of 12 one-to-one consulting sessions of 90 minutes each, delivered as two sessions per week over six weeks (18 hours of direct consulting time in total). Self-Study Requirement: In addition to the scheduled consulting sessions, the Programme requires independent self-study of approximately 3–4 hours per week (subject to individual requirements), to be completed by the Client between sessions. This self-study commitment is a required part of the Programme, not an optional addition, and successful engagement with the Programme depends on it.

3. Fees and Payment

The Programme fee is €2,400, payable as a single upfront payment. No VAT is charged, as the supply of these services to clients based outside the European Union (including GCC countries) falls outside the scope of Irish/EU VAT. Booking Deposit: Where a Client is placed on a waitlist prior to a confirmed start date, a non-refundable booking deposit of 20% of the total fee (€480) is required to secure a place. Balance Payment: The remaining balance (€1,920 where a deposit has been paid, or the full €2,400 otherwise) is due no later than 10 days before the confirmed Programme start date. We reserve the right to release a Client's reserved place if payment is not received by the due date.

4. Cancellation and Refunds

Statutory Right of Withdrawal: If you are a consumer based in the European Union or otherwise entitled to statutory distance-selling protections, you have a right to withdraw from this contract within 14 days of payment without giving any reason ("the Cooling-Off Period"), and to receive a full refund. Early Commencement: Where the confirmed Programme start date falls within the 14-day Cooling-Off Period, you may expressly request that we begin delivering the Programme before the Cooling-Off Period ends. By making this request, you acknowledge and agree that: (a) you expressly waive your right to a full refund for any portion of the Programme already delivered to you; and (b) if you subsequently cancel during the Cooling-Off Period, you will be refunded the fee minus a pro-rata amount for each session already delivered. Cancellation After the Cooling-Off Period: Once the Cooling-Off Period has ended, cancellation is subject to the following: The booking deposit (where applicable) is non-refundable. You will be refunded the fee for any of the 12 sessions not yet delivered, calculated pro-rata (i.e., €200 per undelivered session, based on the €2,400 total fee across 12 sessions). No refund is payable for sessions already delivered. Cancellation by Us: If we are unable to deliver the Programme as booked, we will offer a full refund of any fees paid for sessions not yet delivered.

5. No Guarantee of Outcome

The Programme is designed to support and enhance your preparation for the OET Medicine examination through our proprietary methodology. However, examination outcomes depend on numerous factors beyond our control, including your individual performance, prior preparation, and circumstances on the day of the examination. We do not guarantee that you will pass the OET Medicine examination, achieve any specific score, or achieve any particular outcome as a result of participating in the Programme. We are committed to supporting you fully throughout the Programme, but do not accept liability for examination results or any consequences arising from your examination outcome. This disclaimer relates to examination outcomes only. It does not affect your right to raise a formal complaint if you believe the Programme itself was not delivered as described in these Terms — for example, a fundamental failure in the delivery, content, or conduct of the Programme. Any such complaint will be reviewed on its individual merits.

6. Intellectual Property and Confidentiality

Ownership: The HH MATRIX protocol, all associated methodology, materials, frameworks, and content provided during the Programme ("the Materials") remain the exclusive intellectual property of Tionkar Limited at all times. Nothing in these Terms transfers ownership of the Materials to you. Personal, Non-Transferable Licence: You are granted a personal, non-transferable, non-exclusive licence to use the Materials solely for your own individual OET Medicine preparation. You may not reproduce, distribute, share, sell, sublicense, or use the Materials to train, coach, or instruct any other person. Watermarking: All digital materials provided to you are watermarked with your registered email address for traceability. Any unauthorised distribution of Materials may be traced back to your account and may result in immediate termination of your access without refund, and we reserve the right to pursue legal remedies for breach of these Terms. Mutual Confidentiality: Any clinical case details, personal information, or professional circumstances you share with us during consultations will be treated as confidential and used solely for the purpose of delivering the Programme to you. Post-Programme Access: Your access to the Materials will remain available for 90 days following completion of the Programme, after which access may be revoked. Where reasonable — for example, where your confirmed examination date falls after this period — we may agree to extend access at our discretion.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability to you arising out of or in connection with the Programme shall not exceed the total fees paid by you. We are not liable for any indirect, incidental, or consequential losses, including loss of income, career opportunity, or professional advancement.

8. Governing Law

These Terms are governed by the laws of Ireland, and any disputes arising from them shall be subject to the exclusive jurisdiction of the courts of Ireland.

9. Changes to These Terms

We reserve the right to update these Terms from time to time. Any changes will be published on this page with an updated effective date. Continued use of our services after changes are published constitutes acceptance of the updated Terms.
